Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Bit Mentors Inc., a corporation incorporated under the laws of Ontario, Canada (“Company,” “we,” “us,” or “our”), governing your access to and use of the ExpenseFlow application and related services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least eighteen (18) years of age and capable of forming a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Description of Service

ExpenseFlow is an expense tracking and categorization tool designed for Canadian contractors and self-employed individuals. The Service allows you to:

• Upload CSV files containing financial transaction data
• Automatically and manually categorize transactions
• Generate expense reports and summaries
• Export data for tax filing purposes

4. Account Registration and Security

To access certain features of the Service, you must create an account by providing a valid email address. You agree to:

• Provide accurate and complete information
• Maintain the security of your account
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload false, fraudulent, or misleading information
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity of the Service
• Use the Service to transmit malware or harmful code
• Reproduce, duplicate, copy, sell, or exploit any portion of the Service
• Use automated means to access the Service without permission

6. User Content and Data

6.1 Ownership

You retain all rights to the data you upload to the Service, including your financial transaction data (“User Content”). By uploading User Content, you grant us a limited, non-exclusive license to process and store your data solely for the purpose of providing the Service.

6.2 Responsibility

You are solely responsible for the accuracy and completeness of your User Content. We do not verify the accuracy of financial data you upload.

6.3 Backup

While we maintain regular backups, you are responsible for maintaining your own copies of important data. We recommend exporting your data regularly.

7. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Bit Mentors Inc. and is protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Fees and Payment

8.1 Free and Paid Plans

The Service is offered with both free and paid subscription plans. Features and limitations vary by plan as described on our pricing page.

8.2 Billing

If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are billed in advance on a monthly or annual basis. All payments are in Canadian dollars unless otherwise specified.

8.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

8.4 Price Changes

We may change our pricing with thirty (30) days' notice. Price changes apply to billing periods following the notice period.

9. Disclaimers and Limitations

9.1 No Tax or Financial Advice

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL TAX, ACCOUNTING, OR FINANCIAL ADVICE. WE ARE NOT ACCOUNTANTS, TAX ADVISORS, OR FINANCIAL PLANNERS. THE CATEGORIZATIONS AND CALCULATIONS PROVIDED ARE FOR INFORMATIONAL PURPOSES ONLY AND MAY NOT BE ACCURATE OR APPROPRIATE FOR YOUR SPECIFIC SITUATION.

You are solely responsible for verifying the accuracy of all categorizations and calculations. We strongly recommend consulting with a qualified accountant or tax professional before filing any tax returns.

9.2 No CRA Affiliation

ExpenseFlow is not affiliated with, endorsed by, or connected to the Canada Revenue Agency (CRA) or any government agency. References to CRA categories, forms, or requirements are provided for convenience only and may not reflect current regulations.

9.3 Service Availability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIT MENTORS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Costs of substitute services
• Tax penalties, interest, or reassessments
• Any other pecuniary loss

ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bit Mentors Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any tax penalties or assessments resulting from your reliance on the Service

11. Termination

11.1 By You

You may terminate your account at any time by contacting us at hello@bitmentorsinc.com.

11.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policies. You may request export of your data prior to termination.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the courts located in Ottawa, Ontario, Canada, and you consent to the personal jurisdiction of such courts.

12.3 Informal Resolution

Before initiating any formal proceedings, you agree to first contact us at hello@bitmentorsinc.com to attempt informal resolution of any dispute.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
